Consignment Terms and Condition

  1. Overview: Gifted Jewelers sells luxury designer and non-branded items, and you want them to sell your items on consignment, meaning you still own them even after transferring them to Gifted Jewelers.
  2. Delivery of Property; Risk of Loss; Insurance: You're responsible for any loss or damage to the items until Gifted Jewelers physically possess them. However, they'll assume the risk during shipping if they provide a shipping label. If items are damaged, stolen, or lost while in their possession, they will consider them sold and pay you a commission or price agreed upon in Exhibit A.
  3. Property Acceptance Conditions: Gifted Jewelers will evaluate the items for authenticity, quality, and condition. They only accept items in very good to excellent condition, authentic, and meeting certain representations.
  4. Unauthenticated, Counterfeit, or Stolen Items: You are responsible for ensuring the authenticity of the items you provide. If they can't confirm authenticity, they may refuse the items. If any item is counterfeit, it won't be returned but will be destroyed.
  5. Consignment Period and Return of Property: The consignment period starts upon acceptance of an item and lasts for 365 days. You can request the return of items during this period, subject to certain conditions and fees.
  6. Efforts to Sell; Price: Gifted Jewelers will try to sell your items, determine initial selling prices, and apply for discounts or promotions at their discretion.
  7. Title to Property: You continue owning the items until they are sold, lost, stolen, or damaged while in Gifted Jewelers' possession.
  8. Commissions and Payment: You'll receive commissions or an agreed buying price on sold items based on the net selling price and commission rate determined by Gifted Jewelers.
  9. Termination: Either party can terminate the agreement at any time in writing.
  10. No Assignment: You cannot assign this agreement without Gifted Jewelers' consent.
  11. Disclaimer of Warranties; Limitation of Liability: Gifted Jewelers provides services "as is" and is not liable for certain damages.
  12. Your Representations, Warranties, and Indemnification: You represent that the items are authentic and not infringing any rights. You'll indemnify Gifted Jewelers for specific claims related to the items.
  13. Amendments to This Agreement: Gifted Jewelers may update the agreement with 14 days' notice, and the changes bind you unless you terminate the agreement.
  14. Entire Agreement: This agreement is the final agreement between you and Gifted Jewelers and supersedes any prior agreements.
  15. No Implied Waiver: Failure to enforce any provision doesn't constitute a waiver.
  16. Severability: The rest of the agreement remains valid if any term is void.
  17. Survival of Terms After Agreement Ends: Certain obligations will survive the agreement's termination.
  18. Headings: Headings are for convenience only and don't change the meaning of the agreement.
  19. Notices: You can contact Gifted Jewelers via email or physical address provided. They will provide notices to you through your contact information.
  20. Dispute Resolution: Any disputes will first be attempted to be informally resolved. If unresolved, disputes will be resolved through binding arbitration, except for specific claims that may be filed in small claims court.
